About the Role:
The associate will work across a broad range of capital markets transactions and public company matters, with significant exposure to '34 Act reporting and corporate governance. The practice offers high levels of responsibility, client interaction, and collaboration with a well-established national corporate team.
Key Responsibilities:
- Represent issuers in capital markets transactions, including equity and debt offerings
- Advise public companies on '34 Act reporting, corporate governance, and exchange compliance
- Manage day-to-day workflows and client relationships for companies with sophisticated legal needs
- Draft and review disclosure documents, SEC filings, and corporate governance materials
- Collaborate closely with partners and cross-office teams on complex corporate matters
- 4-6 years of capital markets and public company ('34 Act) experience
- Background from a national or international law firm preferred
- Strong academic credentials from a nationally recognized law school
- Excellent writing, communication, and analytical skills
- Ability to handle multiple projects independently while maintaining high-quality work
- Salary range: $310,000-$390,000, depending on experience and location
