Key Responsibilities
- Represent issuers, underwriters, and financial institutions in public and private securities offerings
- Draft and negotiate offering documents, underwriting agreements, indentures, and ancillary transaction materials
- Advise clients on SEC reporting and disclosure obligations
- Assist with liability management transactions, including exchange offers, tender offers, and consent solicitations
- Conduct due diligence and coordinate transaction execution across multidisciplinary teams
- Provide strategic guidance on capital markets compliance and corporate governance matters
- 3-5 years of experience in capital markets transactions at a leading law firm
- Experience with registered offerings (including IPOs and follow-on offerings) and Rule 144A / Regulation S transactions
- Exposure to high-yield and investment-grade debt offerings preferred
- Strong drafting, analytical, and organizational skills
- Excellent academic credentials
