Deputy General Counsel - Project Finance & M&A (DG Platform)
Overview
We are partnering with a high-growth distributed generation renewable energy platform to appoint a Deputy General Counsel focused on project finance, M&A, and capital markets activity.
This is a senior, deal-facing role working directly with the General Counsel, CFO, development, structuring and capital markets teams, to structure, negotiate, and execute complex transactions across a growing portfolio of solar, storage, and distributed energy assets.
This role is designed as a true number two to the General Counsel, with a clear mandate and runway to transition into the GC role within 18–36 months as the platform continues its growth trajectory.
Key Responsibilities
Project Finance & Capital Structuring
- Lead all legal aspects of project financings, including tax equity, back-levered debt, warehouse facilities, and structured financings.
- Structure and negotiate credit agreements, intercreditor arrangements, security packages, and lender documentation.
- Partner with capital markets and finance teams on innovative financing strategies to scale the platform.
M&A & Investments
- Lead legal execution of acquisitions, divestitures, and joint ventures across DG assets and portfolios.
- Advise on tax equity-driven acquisitions and pre-/post-NTP transactions, including structuring around partnership flips and investment vehicles.
- Draft and negotiate Membership Interest Purchase Agreements (MIPAs), Joint Venture and partnership agreements, and platform-level investments.
- Support diligence processes and manage external counsel across transactions.
Commercial & Strategic Advisory
- Operate as a core advisor in transitioning projects into long-term operating assets, ensuring legal structures support durability of cash flows and bankability.
- Drive alignment between development, financing, and asset management functions to support an integrated IPP model.
- Support holdco and portfolio-level strategies, including capital recycling, dividend optimisation, and institutional capital partnerships.
External Counsel & Process Management
- Build internal playbooks, templates, and processes to improve deal execution efficiency.
Candidate Profile
- 10 –15+ years' experience in project finance, infrastructure, or energy M&A.
- Background from a top-tier law firm and/or in-house at a renewable energy developer, IPP, or infrastructure fund.
- Deep experience across: Tax equity structures; Debt financing and credit documentation; M&A transactions in energy/infrastructure.
- Strong commercial mindset, able to operate as a dealmaker, not just a legal reviewer.
- Comfortable operating in a fast-scaling, entrepreneurial environment.
