Finance Associate

A nationally recognized, market-leading Finance practice is seeking an exceptional mid-to-senior level associate to join its team in Chicago. This is an outstanding opportunity to work with a sophisticated finance group on a broad range of complex domestic and cross-border financing transactions for private equity sponsors, corporate borrowers, and private credit lenders.

Responsibilities

• Advise clients on complex commercial lending and leveraged finance transactions, including syndicated financings, leveraged acquisition financings, recapitalizations, and structured and alternative lending arrangements.
• Represent private equity sponsors, portfolio companies, corporate borrowers, and private credit lenders in secured and unsecured debt financings and other strategic financing matters.
• Draft and negotiate principal financing documentation, including credit agreements, security documentation, and ancillary transaction documents across a broad range of credit facilities.
• Work closely with cross-disciplinary teams on transactions involving domestic and cross-border elements.

Qualifications

• At least five years of experience in a top-tier law firm working on complex finance and leveraged lending transactions.
• Strong experience drafting and negotiating principal financing documentation, including security documentation.
• Experience representing private credit lenders and/or private equity sponsors and their portfolio companies in leveraged buyouts, acquisition financings, recapitalizations, working capital facilities, and workouts.
• Excellent drafting, analytical, and negotiation skills.
• Strong academic credentials and professional references.
• Demonstrated ability to work collaboratively in a fast-paced, team-oriented environment.
