COMMERCIAL LENDING & FINANCE ATTORNEY
DarrowEverett LLP is looking for a Commercial Lending & Finance Attorney who experienced and highly skilled Finance Attorney with over 3-5 years of expertise in financial services law to join our growing legal team. This individual will provide strategic counsel on a wide range of complex financial transactions and legal matters. The ideal candidate will have extensive experience advising financial institutions, private equity firms, lenders, and corporate clients on debt financing, capital markets, and regulatory compliance. The Finance Attorney will work closely with internal stakeholders and clients to ensure the firm's legal interests are protected in all financial dealings.
Role & Responsibilities:
- Representing banks or private/public lenders & fixed income first or second lien commercial real estate transactions.
- Conducting other commercial real estate issues such as the evaluation, transfer, or drafting of commercial leases and/or drafting deeds of trust
- Experience in other commercial real estate transactions or investment, corporate, and / or M&A transactions
- Representing lenders and borrowers in financial transactions, with a principal focus on commercial real estate credit secured by mortgages or deeds of trust.
- Utilizing industry solutions to CRE finance transactions, including structuring, negotiating, and closing transactions.
- Using best practices for drafting and perfecting security interests, including reviewing title insurance policies and drafting title objection letters, commercial or multifamily real estate, tenant improvements or equipment, or cash flow coverage.
- Provide expert legal counsel on complex financing transactions, including corporate lending, structured finance, securitizations, and debt offerings.
- Draft, negotiate, and review financing documents, loan agreements, indentures, security agreements, and other related legal documents.
- Advise clients on regulatory compliance in connection with financial transactions, including knowledge of federal and state laws, including SEC regulations, and other relevant regulations.
- Represent clients in negotiations and disputes related to financial transactions.
- Conduct due diligence on financial transactions and provide risk analysis and mitigation strategies.
- Work closely with internal legal and compliance teams to ensure all transactions adhere to company policies and legal standards.
- Monitor and interpret changes in financial regulations, laws, and market trends, advising clients and internal stakeholders accordingly.
- Provide training and mentorship to junior attorneys and legal staff.
Qualifications:
- Bachelor's degree and J.D. Degree
- 3-5+ years of continuous, specific, and verifiable commercial lending & finance
- Extensive experience in structuring, negotiating, and documenting commercial real estate transactions.
- In-depth knowledge of commercial real estate finance.
- Knowledge of the laws and rules, as well as state and federal court procedures, forms, deadlines, filing requirements and portals
- Ability to organize factual and legal data into clear and logical arguments.
- Ability to handle sensitive matters on a confidential basis.
- Licensed to practice law and in good standing in at least one of the following states RI, NY, or FL.
- A high degree of initiative, mature judgment, and discretion.
- Ability to work collaboratively in a fast-paced, team-oriented environment.
Preferred Qualifications:
- Experience working in-house or at a large law firm with a robust finance practice.
- Background in securitization, structured finance, or derivatives.
- International finance experience or fluency in a second language is a plus.
