Job Title: Finance Attorney

Job Description:

We are seeking a highly skilled and experienced Banking and Finance Attorney with a minimum of ten years of experience representing both borrowers and lenders in sophisticated commercial lending transactions. The ideal candidate will have a strong track record in negotiating, structuring, and documenting both secured and unsecured financing transactions. This includes expertise in:

• Asset-based financings
• Senior, mezzanine, and subordinated debt transactions
• Cross-border financings
• Commercial mortgage transactions
• Opinion letters

Key Responsibilities:

• Represent borrowers and lenders in complex commercial lending transactions.
• Negotiate, structure, and document a wide range of financing deals.
• Provide legal counsel on secured and unsecured financing transactions.
• Draft and review transaction documents, including credit agreements, security agreements, and intercreditor agreements.
• Collaborate with a team of attorneys to develop new client relationships and expand business development efforts.
• Advise clients on regulatory compliance and risk management related to financing transactions.

Qualifications:

• Juris Doctor (JD) from an accredited law school.
• Active license to practice law in New York.
• Minimum of ten years of experience in banking and finance law.
• Extensive experience representing borrowers and lenders in commercial lending transactions.
• Strong knowledge of secured and unsecured financing, including asset-based lending and commercial mortgages.
• Excellent negotiation and drafting skills.
• Ability to work independently and as part of a collaborative team.
