Finance Associate Attorney (Debt Finance & Capital Markets)

Direct Counsel is seeking a Finance Associate with 2–3 years of experience to join a growing Finance practice in Boston. This is an excellent opportunity for an attorney looking to build a sophisticated finance practice while working closely with lenders, borrowers, and corporate clients on complex financing transactions.

The ideal candidate will have meaningful experience in debt finance and capital markets transactions, with exposure to secured lending and Article 9 of the Uniform Commercial Code.

• Represent financial institutions, lenders, borrowers, and corporate clients in sophisticated financing transactions
• Draft, review, and negotiate loan agreements, security documents, intercreditor agreements, and related financing documentation
• Advise clients on secured lending matters, including perfection and enforcement of security interests under Article 9 of the Uniform Commercial Code
• Support asset-based lending, cash flow financing, mezzanine financing, high-yield debt transactions, and debtor-in-possession financings
• Assist with debt restructuring, workout, and recapitalization matters
• Collaborate with attorneys in the corporate, M&A, and restructuring practices on transaction-related matters
• Manage transaction workstreams and coordinate deal execution from inception through closing

• 2–3 years of finance, banking, debt finance, or capital markets experience
• Experience with secured lending transactions and Article 9 UCC matters
• Exposure to debt finance transactions, including:
  • Asset-based lending
  • Cash flow lending
  • Mezzanine financing
  • High-yield debt transactions
  • Debtor-in-possession financings
• Experience with workouts and restructurings is a plus
• Outstanding academic credentials
• Excellent written, verbal, analytical, and communication skills
• Comparable law firm experience preferred
• Active Massachusetts Bar admission required

• Base salary range: $225,000 – $250,000
