Corporate Associate Attorney (Capital Markets)

Direct Counsel is seeking a Corporate Associate to join a premier Capital Markets practice in New York. This is an outstanding opportunity for an attorney looking to advise issuers, underwriters, and public companies on sophisticated securities offerings and capital markets transactions.

The ideal candidate will have substantial experience with U.S. securities offerings, strong technical knowledge of securities laws, and a desire to work on complex transactions in a fast-paced, collaborative environment.

• Represent issuers, underwriters, and public companies in capital markets transactions
• Advise clients on:
  • Public securities offerings
  • Private securities offerings
  • Equity and debt financings
  • Securities law compliance matters
  • Corporate governance issues
• Draft and review offering documents and transaction agreements
• Conduct legal due diligence and assist with transaction execution
• Coordinate with clients, investment banks, auditors, and opposing counsel
• Advise clients on SEC reporting and disclosure obligations
• Support clients through all stages of securities offerings and related transactions
• Collaborate with attorneys across corporate, finance, tax, and regulatory practices

• J.D. from an accredited law school
• Law school class years 2021–2023
• Extensive capital markets experience
• Experience with U.S. securities offerings
• Strong understanding of federal securities laws and regulatory requirements
• Experience drafting and negotiating capital markets transaction documents
• Excellent analytical, writing, and communication skills
• Strong attention to detail and project management abilities
• Ability to manage sophisticated transactions in a fast-paced environment
• Outstanding academic credentials

• Salary range: $235,000 – $310,000
