Corporate Finance Attorney
Location: Remote (Candidates must reside in California)
Compensation: $80-$85 per hour
Job Type: Contract Assignment (6-8 Months)
LHH is partnering with a respected organization seeking an experienced Corporate Finance Attorney to support a commercial real estate finance practice. This fully remote opportunity is ideal for a transactional attorney with strong experience in structured finance, commercial real estate lending, and complex debt transactions. The attorney will work closely with internal stakeholders and business partners on a variety of financing matters involving institutional lenders, loan servicers, and securitized loan portfolios.

This fully remote opportunity is ideal for a transactional attorney with strong experience in structured finance, commercial real estate lending, and complex debt transactions. The attorney will work closely with internal stakeholders and business partners on a variety of financing matters involving institutional lenders, loan servicers, and securitized loan portfolios.
Responsibilities
- Draft, review, negotiate, and structure financing transactions involving commercial real estate assets.
- Advise on leveraged lending transactions, including warehouse facilities and portfolio lending arrangements.
- Handle matters related to securitizations, including CMBS, CLO, agency, and other structured finance products.
- Support servicing and special servicing activities involving distressed and performing commercial mortgage loans.
- Review and negotiate loan documents, amendments, modifications, forbearance agreements, and related transaction documents.
- Provide legal analysis regarding asset-backed and balance sheet lending transactions.
- Coordinate with lenders, borrowers, servicers, special servicers, investors, and other transaction parties.
- Conduct due diligence and identify legal and transactional risks associated with financing structures.
- Collaborate with business teams and outside counsel to facilitate timely transaction execution.
- Assist with portfolio management matters, loan acquisitions, dispositions, and restructuring efforts.
- Juris Doctor (J.D.) from an accredited law school.
- Active membership in the California State Bar.
- Minimum 5 years of experience in commercial real estate finance and structured finance transactions.
- Strong drafting, negotiation, and analytical skills.
- Ability to manage multiple transactions simultaneously in a fast-paced environment.
- Excellent written and verbal communication skills.
- Demonstrated ability to work independently in a remote setting.
- Prior experience with institutional lenders, servicers, investment managers, REITs, private equity firms, or law firms with a commercial real estate finance practice.
- Experience handling debt, workouts, restructurings, or non-performing loan portfolios.
- Familiarity with complex structured finance and capital markets transactions.
