About the Role

The Company is seeking an Assistant General Counsel for its Nonprofit Tax and Governance Practice. The successful candidate will be a key legal advisor on federal and state nonprofit law and compliance, with a focus on representing the organization in complex governance and regulatory matters. This role requires a Juris Doctor (J.D.) from an accredited law school, Bar membership in good standing in the District of Columbia, or eligibility to waive into the D.C. Bar, and a minimum of 5 years of professional experience in the field. The Assistant General Counsel will be responsible for a range of tasks, including monitoring IRS regulations, drafting and negotiating complex agreements, and ensuring compliance with various regulatory bodies. Experience in fiduciary litigation, media and broadcast review, and agency compliance is essential. The ideal candidate will have a strong background in nonprofit tax laws, experience with planned giving, and a working knowledge of FCC, FTC, and/or FEC regulatory environments. Preferred qualifications include experience with the IRS Office of Chief Counsel and a background in advising multi-tiered, federated membership associations or national public media entities. The role demands a professional with a proven track record in legal research, clear and concise writing, and the ability to manage outside counsel. The Assistant General Counsel will also provide corporate governance support for the organization's Board of Directors and Foundation Board of Trustees. The position is full-time and requires a commitment to the ethical standards and legal obligations of the organization.
