Director, Corporate Counsel (New York, NY) Our client, a leading financial services firm, is seeking an experienced corporate attorney to join its legal team. This role offers broad exposure across securities law, corporate governance, regulatory matters, strategic transactions, and public company reporting. The position is designed to provide significant responsibility and long‑term growth potential, with the opportunity to assume primary ownership of the company's public disclosure and corporate governance functions. Responsibilities Prepare and review SEC filings, including Forms 10-K, 10-Q, 8‑K, proxy statements, and other public disclosures Advise on securities law matters, including compliance with the Securities Act of 1933 and Securities Exchange Act of 1934 Prepare corporate governance documentation, including board and committee materials, minutes, and related records Review, draft, and negotiate a variety of corporate agreements, including vendor and commercial contracts Support investor relations and corporate communications functions through review of earnings materials, presentations, and press releases Provide legal support for strategic transactions, including mergers, acquisitions, divestitures, and other corporate initiatives Support rating agency processes, including review of materials and contractual documentation Collaborate closely with business, finance, accounting, risk, compliance, and executive management teams Qualifications J.D. degree and admission to practice law in at least one U.S. jurisdiction 4‑8 years of corporate and regulatory experience at a major law firm Strong understanding of public company reporting obligations, securities laws, and corporate governance practices J-18808-Ljbffr5c143e31-5e48-4549-b638-05792d185386
