Overview

As an Associate in our Corporate Finance Practice, you will support lender and borrower transactions within a dynamic, full-service firm. You will work on broadly syndicated facilities, acquisition financings, and private credit, coordinating deal stages and client interactions. You'll draft and review core documents and help manage closing deliverables, with increasing responsibility. Responsibilities

• Drafting, reviewing and revising credit agreements, debt commitment letters and security agreements
• Preparing closing deliverables including secretary's certificates, resolutions, opinions, schedules and exhibits
• Assisting in deal management and client interaction
• Representing lenders and borrowers in finance transactions
• Supporting involvement with private equity sponsors and portfolio companies (beneficial)

Key requirements

• 3-6 years of experience in finance or corporate transactions
• Experience in lender and borrower representations; broadly syndicated facilities, acquisition financings, private credit facilities
• Strong drafting skills and ability to take significant responsibility for deal management and client interaction
• Admission to one or more state bars
• Proactive, diligent, team-oriented
• Strong academic background
