Legal Counsel

The Firm

Our client, a rapidly growing private equity firm, is seeking an Attorney to join its legal and compliance team in San Diego. The attorney will work closely with the GC/CCO, investment team and senior leadership across transactions, fund matters, corporate governance and regulatory issues.

The Role:

This is a broad in-house opportunity for an attorney coming from either an M&A/private equity transactions or private funds/fund formation background who is interested in expanding their experience across the full legal function of a growing private equity firm.

Key responsibilities:

• Support platform investments, add-on acquisitions, dispositions and other private equity transactions


• Assist with legal due diligence, deal execution and transaction documentation


• Support fund formation, fund structuring and ongoing fund-related matters


• Work on LP agreements, subscription documents, side letters and other investor documentation


• Advise on management company, fund and entity governance matters


• Draft and review NDAs, engagement letters and commercial agreements


• Manage legal workstreams and serve as a key point of contact for investment professionals, outside counsel, and other service providers


• Help build and improve legal processes as the firm continues to grow

Qualifications:

• JD required


• Approximately 3–6+ years of relevant legal experience


• Strong background in either:


• Private equity M&A / corporate transactions, or


• Private funds / fund formation


• Top law firm training strongly preferred


• In-house or investment management experience is a plus, but not required


• Strong drafting, negotiation and project management skills


• Commercial, collaborative and comfortable working in a lean, fast-paced environment
