Job Description:

Our client is seeking a mid-level Real Estate Finance Associate/Counsel with a minimum of 4+ years of experience to join their team in New York. The ideal candidate will have a strong background in representing institutional lenders in complex real estate finance transactions.


Key Responsibilities:

  • Represent banks, debt funds and other institutional lenders in real estate finance transactions, including:
  • Mortgage and mezzanine loans
  • Construction loans
  • Loan modifications and workouts
  • Draft and negotiate loan documents, intercreditor agreements and related finance documentation
  • Review and analysis of due diligence, title/survey/zoning, corporate structure and documentation, and handle the closing
  • Coordinate with internal teams, clients and third party vendors
  • Work directly with clients and participate in strategy discussions and deal structuring
  • Engage with and strengthen relationships with existing clients
  • Maintain awareness of legal developments and market trends affecting real estate finance and leasing


Qualifications:

  • J.D. from an ABA accredited law school
  • Admitted to practice in New York(additional jurisdictions a plus)
  • a minimum of 4 years of relevant experience at a top-tier law firm or boutique focused on sophisticated lender representation
  • Strong knowledge of real estate finance laws and practices, as well asmarket standards
  • Excellent drafting, communication and negotiation skills
  • Highly organized with strong attention to detail
  • Able to manage multiple transactions and deadlines independently


Preferred Skills:

  • Experience with syndicated loan structures, intercreditor and co-lender agreements
  • Exposure to ground leases, sale-leasebacks, and mixed-use developments
  • Familiarity with REITs, opportunity zones or tax-advantaged structures is a plus
