Investment Management Counsel

Our client is a growing investment manager who are seeking a private funds attorney to join its Legal team.

The role focuses on fund formation, investor negotiations, and ongoing legal support for private investment vehicles.

Responsibilities:

• Advise on the formation, structuring, fundraising, and ongoing operation of private funds and separately managed accounts.


• Draft and negotiate LPAs, offering memoranda, subscription documents, side letters, and investment management agreements.


• Work with investor relations on investor negotiations and fund documentation.


• Advise on fund governance, investor disclosures, and investment adviser regulatory matters.


• Coordinate outside counsel and provide practical legal advice to investment and business teams.

Qualifications:

• U.S.-admitted attorney with 4–7 years of relevant experience at a law firm or investment manager.


• Strong private fund formation experience, including drafting fund documents and negotiating side letters.


• Comfortable managing matters independently and working directly with business stakeholders.

Compensation: $250,000–$300,000 base; $400,000–$450,000 total compensation, with flexibility for the right candidate.
