Handle complex corporate transactions through hands-on drafting, negotiation, due diligence, client counseling, and day-to-day client communication. The role also supports venture financings, cap table management, and outside general counsel work in a flexible hybrid environment. Draft and negotiate documents for corporate transactions. Conduct transactional due diligence. Support fundraising and venture financing transactions, including preferred stock and convertible securities issuances. Counsel clients as outside general counsel and provide day-to-day client communication. Draft corporate consents and review contracts. Manage capitalization tables and prepare waterfalls and pro formas.
