Jobot is seeking a Corporate Shareholder Attorney to support our Professional, Scientific & Technical Services clients with complex corporate and securities matters. In this role, you will advise on shareholder rights, governance, and fiduciary duties; draft and negotiate shareholder agreements, bylaws, and charters; and lead or support M&A and financing transactions. You will ensure compliance with federal and state corporate and securities laws while partnering with our tech-forward, collaborative recruiting teams to deliver strategic, business-focused legal solutions. Advise clients on corporate governance, shareholder rights, and fiduciary duties. Draft, review, and negotiate shareholder agreements, bylaws, and corporate charters. Lead and support M&A, financing, and restructuring transactions. Ensure compliance with federal and state securities and corporate laws. Conduct legal research and due diligence for corporate transactions. Collaborate with internal recruiting teams to understand client needs and risks. Manage client communications, expectations, and matter strategy. Train and mentor junior attorneys or legal staff as needed.
