A top-10 AmLaw firm with a nationally recognized finance platform, is seeking an experienced Of Counsel or Senior Associate to join its Structured Finance Practice Group. This role focuses on commercial mortgage-backed securities (CMBS) transactions and is open to candidates based in any U.S. office location. The position offers the opportunity to work on sophisticated securitization matters within a collaborative, high-performing team, while maintaining flexibility through a hybrid work environment.
Candidate Profile
- JD from a top-tier law school with an excellent academic record.
- Active Bar Admission in the applicable jurisdiction, in good standing.
- 5-8 years of substantive experience in structured finance, securitization, and/or CLO transactions.
- Experience with commercial mortgage-backed securities (CMBS) transactions preferred, though not required.
- Prior experience at an AmLaw 100 or similarly sophisticated law firm strongly preferred.
- Strong analytical, drafting, and writing skills with a high level of attention to detail. Sound business judgment and the ability to manage complex matters independently.
- Excellent organizational, research, and problem-solving skills
- Directly related prior experience at an AmLaw 100 firm is required.

Key Responsibilities
- Represent clients in a broad range of structured finance and securitization transactions, with a focus on CMBS matters.
- Draft, review, and negotiate transactional and financing documentation related to securitizations and structured products.
- Provide strategic legal advice on complex financial structures and transaction execution.
- Manage multiple matters simultaneously while meeting deadlines and maintaining high-quality work product.
- Collaborate closely with attorneys, clients, and business professionals across offices and practice areas.
- Support and mentor junior attorneys, as appropriate, and contribute to team leadership.

Compensation & Benefits
- Competitive Compensation: Annual base salary is expected to range from $365,000– $525,000, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
