Job Title: Senior Finance Counsel - Leveraged & Structured Finance
Location: NY & CA
Role Summary:
The ideal candidate will have significant experience handling leveraged finance and structured finance matters, with a focus on middle-market transactions. This attorney will serve as a key legal resource in transaction execution, documentation review, and strategic client support. In addition to deal work, the role involves a strong knowledge management component to help enhance internal best practices and improve operational efficiency across the practice group.
Key Responsibilities:

• Draft, review, and negotiate a variety of finance documents, including credit agreements, amendments, term sheets, and other ancillary agreements.

• Provide legal support throughout the lifecycle of leveraged finance transactions, with particular emphasis on borrower-side middle-market deals.

• Collaborate with deal teams, clients, and opposing counsel to ensure smooth, timely closings.

• Participate in knowledge management initiatives, including drafting templates, maintaining precedents, and contributing to internal training materials.

• Help maintain legal and regulatory compliance across all engagements and participate in select thought leadership efforts within the firm.

Qualifications:

• J.D. from a top-tier law school

• Minimum of 6-10 years of relevant experience in a large law firm or in-house legal department, focusing on leveraged finance, private credit, or syndicated lending.

• Strong command of U.S. loan market standards and regulatory considerations.

• Demonstrated ability to manage multiple transactions and priorities in a collaborative, client-focused environment.

• Excellent drafting, communication, and organizational skills.

• preference for a consistent work schedule and off-track structure while continuing to perform high-level legal work.
