MW Talent is partnering with a nationally recognized law firm to hire an experienced Private Equity M&A Associate to join a sophisticated corporate and transactional practice. This opportunity is ideal for an attorney who enjoys fast-paced deal work and wants meaningful responsibility on complex private equity transactions.
About the Role
This role focuses on mergers and acquisitions for private equity sponsors and other complex corporate transactions, with an emphasis on middle-market deals. The associate will take on significant responsibility throughout the full deal lifecycle, from initial structuring through closing and post-transaction matters, while working closely with clients and multidisciplinary deal teams.
Key Responsibilities

• Draft and negotiate definitive and ancillary transaction documents
• Support acquisitions, divestitures, and add-on transactions
• Manage all phases of M&A transactions, including structuring, due diligence, closing, and post-closing matters
• Work directly with private equity funds, portfolio companies, founders, and management teams
• Collaborate with attorneys across corporate, finance, and governance disciplines

Qualifications

• JD from an accredited law school
• Active Missouri bar admission required
• 3+ years of sophisticated business and transactional experience
• Strong focus on private equity-backed M&A and complex corporate transactions
• Experience handling middle-market deals
• Law firm or clerkship experience
• Strong academic credentials
• Excellent research, writing, and communication skills
• Ability to navigate complex subject matter quickly and effectively
