Assistant General Counsel - Corporate / Finance Transactions

As a lead transactional attorney at Freddie Mac, you drive complex financing and strategic transactions in-house with significant ownership and partner exposure. You'll serve as trusted counsel to business leaders, shaping structures and documentation for secured and other financings, acquisitions, and related matters. Your work translates intricate legal issues into practical advice that supports growth and stability. • Lead counsel on complex financing and strategic transactions, including structuring, negotiating, and documenting documents
• Advise on intercreditor, collateral, lien perfection, and insolvency-related issues
• Draft and negotiate financing, transfer, and other transaction agreements
• Support portfolio acquisitions, servicing transfers, and M&A-related matters
• Translate legal issues into practical guidance for senior stakeholders
• Develop and implement new transaction structures and solutions

• JD and active bar membership in good standing
• 5-7 years of transactional experience at a law firm or in-house
• Significant experience in secured/structured/private credit, leveraged finance, corporate/M&A, asset-based lending, or real estate finance
• Strong drafting, negotiation, and judgment
• Ability to lead transactions from structuring through closing and post-closing
• Ability to deliver practical, business-oriented legal advice in a fast-paced environment
