Direct Counsel is representing a reputable law firm seeking a Mid-to-Senior Corporate Finance Associate to join its Corporate Finance Practice in Los Angeles.

Position Overview

This opportunity is ideal for a finance or corporate associate with significant experience handling sophisticated financing transactions. The role offers the opportunity to work with a diverse client base across industries on complex lender- and borrower-side matters, including syndicated lending, acquisition financings, and private credit transactions.

Key Responsibilities
  • Represent lenders and borrowers in a wide range of financing transactions
  • Draft, review, and negotiate:
    • Credit agreements
    • Debt commitment letters
    • Security agreements
    • Closing documents and deliverables
  • Prepare and manage transaction documents, including:
    • Secretary’s certificates
    • Corporate resolutions
    • Legal opinions
    • Schedules and exhibits
  • Assist with:
    • Broadly syndicated credit facilities
    • Acquisition financings
    • Private credit facilities
  • Support deal execution, client communication, and transaction management from inception through closing
Qualifications
  • 3–7 years of experience in finance or corporate transactions
  • Strong experience with:
    • Lender and borrower representations
    • Broadly syndicated credit facilities
    • Acquisition financing transactions
    • Private credit facilities
  • Experience representing private equity sponsors and portfolio companies is a plus
  • Strong drafting, organizational, and communication skills
  • Ability to manage multiple transactions in a fast-paced environment
  • Team-oriented mindset with a proactive approach to client service
  • Strong academic credentials required
  • Admission to the California Bar required
Compensation & Benefits
  • Salary Range: $260,000 – $390,000 annually

Compensation is based on experience and other job-related factors.
